Nexus Community & Commercial License

Version 1.0

Copyright © 2026 Kevin Collins. All rights reserved.

1. Purpose

Nexus is a software development ecosystem intended to help individuals create and distribute software.

This license makes Nexus freely available to developers while requiring a modest annual contribution from those who achieve commercial success through its use.

Nexus encourages creativity, independent development, and community participation without imposing unnecessary financial or technical restrictions.

2. Definitions

Nexus means proprietary software expressly distributed under this license, including applicable development tools, libraries, and supporting software.

Licensor means the individual or legal entity identified as the issuer of this license.

Developer means an individual who uses Nexus to develop, maintain, modify, build, or test software.

Licensee means an individual Developer registered under this agreement.

Nexus-Developed Products and Services means applications, games, software products, contract development, or other services created or provided through the use of Nexus.

Qualifying Revenue means cumulative gross revenue actually received and attributable to Nexus-Developed Products and Services, as further defined in Section 5.

Commercial License means an individually assigned, time-limited license required after the applicable revenue threshold is exceeded.

Commercial Licensing Policy means the separately published Nexus policy establishing financial thresholds, license fees, payment procedures, and applicable commercial licensing periods.

3. License Grant

Subject to this agreement, the Licensor grants each registered Developer a non-exclusive, non-transferable license to install and use Nexus.

You may:

  • Use Nexus for personal, educational, research, hobby, and commercial purposes.
  • Develop and distribute unlimited projects and applications.
  • Sell, license, or otherwise commercialize applications you create.
  • Install Nexus on any number of development computers under your control.
  • Create proprietary, open-source, or otherwise licensed software.
  • Use Nexus in employment, freelance work, or independent development.

No per-project, per-application, per-installation, or per-distribution fees are imposed.

Licenses are issued to individual Developers and may not be shared or transferred.

4. Ownership of Developer-Created Software

You retain all rights to your independently developed applications, projects, and original content.

The Licensor makes no ownership claim over software you create using Nexus.

You may release your applications under any license you choose.

Using Nexus does not, by itself, require disclosure of your application's source code.

No royalties or revenue-sharing obligations apply to applications created using Nexus.

These provisions do not override applicable third-party licensing requirements.

5. Free Use and Qualifying Revenue

Nexus may be used without payment until applicable cumulative lifetime Qualifying Revenue exceeds the threshold specified in the Commercial Licensing Policy.

Qualifying Revenue includes revenue actually received from:

  • Sales and licenses of Nexus-developed software.
  • Commercial games and applications developed using Nexus.
  • Subscriptions associated with Nexus-developed products.
  • Paid software development services performed using Nexus.
  • Other products or services directly involving Nexus-developed software.

Qualifying Revenue excludes:

  • Unrelated employment income.
  • Revenue from unrelated businesses or products.
  • Gifts and donations unrelated to Nexus-developed products or services.
  • Applicable sales taxes collected on behalf of taxing authorities.
  • Refunded or reversed transactions.

Revenue is calculated cumulatively over the lifetime of the relevant commercial activity and does not reset annually.

For independent Developers, Qualifying Revenue includes applicable revenue from their own products and services.

For Developers working within organizations, Qualifying Revenue includes applicable organizational revenue from Nexus-developed products and services on which they work, rather than merely their individual salary or wages.

The same organizational product revenue may establish commercial eligibility for multiple Developers using Nexus.

Only revenue attributable to Nexus-developed products and services counts.

No routine financial reporting or audit is required.

6. Commercial License

Once applicable cumulative lifetime Qualifying Revenue exceeds the threshold established by the Commercial Licensing Policy, a Developer must obtain a Commercial License before continuing development using proprietary Nexus software.

Commercial License fees, validity periods, and payment procedures are established by that policy.

Each Developer requiring a Commercial License must hold an individual license.

Organizations may purchase licenses for their Developers, but each license must be individually assigned.

A Commercial License permits:

  • Unlimited development projects and application releases.
  • Use on multiple development computers.
  • Commercial and proprietary development.
  • Access to generally available Nexus updates.

No royalties or revenue-sharing obligations apply.

Once a Developer has exceeded the applicable lifetime revenue threshold, subsequent decreases in revenue do not restore eligibility for free commercial use.

7. Commercial Licensing Policy and Changes

The Licensor shall publish the current Commercial Licensing Policy through the official Nexus website or another clearly designated official location.

The policy establishes:

  • The free-use revenue threshold.
  • Commercial License fees.
  • License validity and renewal periods.
  • Accepted payment methods and administrative procedures.

The Commercial Licensing Policy is incorporated into this agreement solely for these specified financial and administrative matters.

The Licensor may revise the policy without publishing a new version of this license, subject to the following protections:

  1. Changes must be published and clearly dated.
  2. Changes apply prospectively and do not create retroactive payment obligations.
  3. Existing paid licensing periods remain valid under the financial terms in effect when purchased.
  4. A revised policy does not change the ownership, redistribution, or other substantive rights granted under this agreement.
  5. Developers must have access to the applicable financial terms before purchasing or renewing a Commercial License.

A revised policy cannot override the substantive provisions of this license.

If the Commercial Licensing Policy conflicts with this agreement on matters other than the financial or administrative details expressly delegated to it, this agreement controls.

8. Annual Renewal and Payment

Commercial Licenses are valid for the period specified in the Commercial Licensing Policy and confirmed at issuance.

All renewals are manual unless the Licensee separately and expressly authorizes another arrangement.

The Licensor shall not automatically charge a stored payment method merely because a license approaches expiration.

The Licensor may provide optional renewal reminders.

Failure to renew does not create a debt or automatic obligation to make further payments.

A Developer who has exceeded the applicable threshold must maintain a current Commercial License only while continuing to use proprietary Nexus software for development.

A Developer who stops using Nexus is not required to continue paying license fees.

9. Expiration and Existing Applications

Expiration of a Commercial License does not invalidate applications previously created using Nexus.

After expiration, a Licensee may continue distributing, selling, and receiving revenue from previously developed applications without paying additional Nexus licensing fees.

No retroactive charges or royalties apply.

Further development, rebuilding, modification, or maintenance using proprietary Nexus tools requires a current Commercial License if the Developer has exceeded the applicable revenue threshold.

Applications previously distributed under a valid license are not affected by a later lapse in the Developer's Nexus license.

10. Registration and License Certificates

Use of proprietary Nexus software may require free registration.

Each Developer must provide a valid email address and complete email verification before certificate issuance.

Certificates may identify the Licensee, license classification, issuance and expiration dates, and other information reasonably necessary for licensing administration.

Certificates may be cryptographically signed and verified locally.

Normal development does not require continuous internet connectivity, hardware fingerprinting, online activation, or periodic contact with a licensing server.

A missing or expired certificate does not change the legal requirements of this agreement, regardless of whether the software technically restricts operation.

Lost certificates may be recovered or reissued through verified registration information.

11. Redistribution of Nexus Components

This agreement grants permission to use Nexus as a development platform, not general permission to redistribute its proprietary development tools or source code.

Developers may redistribute Nexus runtime components, libraries, and supporting files expressly designated by the Licensor as redistributable.

Such redistribution is subject to applicable component-specific terms.

Redistribution permissions for applications previously created under a valid license survive expiration of the Developer's Commercial License.

Ownership of proprietary Nexus components remains with the Licensor.

12. Proprietary Rights and Restrictions

Except for rights expressly granted, the Licensor retains all rights to proprietary Nexus software.

You may not:

  • Redistribute proprietary Nexus development tools as a standalone competing product.
  • Publish proprietary Nexus source code without permission.
  • Sell or sublicense proprietary Nexus software itself without authorization.
  • Remove applicable copyright or license notices.
  • Share an individual license certificate as a substitute for obtaining separate Developer licenses.

Nothing prohibits lawful interoperability, independent implementation, or activities permitted by applicable law notwithstanding contractual restrictions.

13. Third-Party and Open-Source Software

Nexus may include, distribute, or interact with separately licensed software.

Such software remains governed by its own licenses, including applicable permissive, GPL, LGPL, and other open-source terms.

FPC-derived compiler components and applicable runtime libraries retain the rights and obligations of their governing licenses.

This agreement applies only to proprietary rights the Licensor is authorized to license under these terms.

Commercial fees do not apply to the exercise of rights independently granted by an applicable open-source license.

Where this agreement conflicts with a component's separate license, that component's license controls.

14. Support and Updates

The Licensor may provide documentation, updates, bug fixes, community support, and development information.

Commercial licensing includes limited basic support through designated channels.

Support is provided subject to availability, without guaranteed response times or service-level commitments.

The Licensor does not guarantee future development, perpetual maintenance, or continued compatibility with particular systems.

Community participation may be available independently of commercial licensing status.

15. Privacy and Registration Information

Registration information may be used for license issuance, email verification, recovery, renewal reminders, necessary service communications, and reasonable aggregate adoption analysis.

Nexus will not require invasive tracking, hardware fingerprinting, or continuous online monitoring for ordinary development.

Optional telemetry will be separately disclosed.

Personal registration information will not be sold to advertisers.

The Licensor will use reasonable security measures and publish a separate privacy notice addressing information collection, retention, and deletion.

16. Good-Faith Compliance

Nexus licensing operates primarily on trust and voluntary compliance.

Developers are responsible for determining when their applicable Qualifying Revenue exceeds the published threshold.

The Licensor does not require routine revenue reports, accounting disclosures, or financial audits.

Developers are expected to obtain and renew Commercial Licenses when required for continued Nexus use.

Lack of technical enforcement does not eliminate obligations under this agreement.

17. Termination

The Licensor may terminate rights granted under this agreement if a Licensee materially violates its terms and fails to correct the violation within thirty days after written notice.

Where correction is reasonably possible, the Licensee shall have an opportunity to restore compliance.

Termination does not transfer ownership of Developer-created applications or impose royalties on applications previously created under a valid license.

Termination of this proprietary license does not terminate rights independently granted by third-party open-source licenses.

18. Warranty Disclaimer

To the maximum extent permitted by applicable law, Nexus is provided "as is", without express or implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

The Licensor does not warrant that Nexus will operate without error, interruption, or security vulnerabilities.

Developers are responsible for evaluating its suitability for their applications.

19. Limitation of Liability

To the maximum extent permitted by applicable law, the Licensor shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of Nexus, including lost profits, data loss, or business interruption.

The Licensor's aggregate liability shall not exceed the amount paid by the Licensee for Nexus licensing during the twelve months preceding the event giving rise to the claim.

Nothing excludes liability that applicable law prohibits excluding.

20. Changes to License Terms

The Licensor may publish revised terms for future versions of Nexus.

Revised license terms do not retroactively alter rights already granted for versions obtained under this agreement.

Developers may continue using eligible earlier versions under their applicable license terms.

New versions may be offered under revised terms, which must be disclosed before adoption.

Changes solely to pricing, revenue thresholds, and payment administration are governed by Section 7 and do not require revision of this license.

21. Severability

If any provision of this agreement is determined by a court or other authority of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be ineffective only to the extent of such invalidity, unlawfulness, or unenforceability.

All remaining provisions shall continue in full force and effect to the maximum extent permitted by applicable law.

Where legally permissible, an invalid or unenforceable provision shall be interpreted or limited to the minimum extent necessary to make it enforceable while preserving its original intent.

If such interpretation or limitation is not permitted, the affected provision shall be severed without invalidating the remainder of this agreement.

The invalidity or unenforceability of a provision in one jurisdiction shall not, by itself, affect its validity or enforceability in another jurisdiction.

Nexus Licensing Philosophy

Create freely. Own what you create. Share in the success.

Nexus exists to empower developers, not to control their work.

Anyone can begin creating software without paying a licensing fee.

Developers who achieve commercial success using Nexus contribute a modest licensing fee toward its continued development.

The objective is not to maximize licensing revenue, but to sustain independent development while preserving freedom for those who use the technology.
